4. Pricing and Payment
4.1. The prices displayed on AgriComp's website are denominated in GBP (British Pounds) and are presented exclusive of Value Added Tax (VAT) unless explicitly stated otherwise. 5. Contract
5.1. The placement of an order by a customer on the AgriComp website does not, in itself, constitute the formation of a contract between the customer and AgriComp.
5.5. Once the confirmation email is sent, the contract between the customer and AgriComp becomes binding.
6. Transfer of Ownership
6.1. AgriComp retains ownership of the goods, the legal and equitable title in which shall not pass to the buyer until AgriComp has received payment of the price of all of the goods, whether or not the goods are delivered in instalments and some have been paid for by the buyer. Until such time, the buyer shall hold the goods in a fiduciary capacity for AgriComp and, in particular, the buyer agrees to the following:
a. The buyer shall insure the delivered goods against any loss or damage with an insurance office of repute.
b. The buyer shall store the delivered goods separately or in such a way as to ensure they are readily identifiable as the property of AgriComp.
c. The buyer shall deliver the goods to AgriComp forthwith on demand. If the buyer fails to do so, the representatives of AgriComp shall be entitled to enter upon the buyer's premises where the delivered goods are or are thought by AgriComp to be stored for the purpose of repossessing them.
d. The buyer shall keep and retain the delivered goods free from any charge, lien, or other encumbrance thereon.

10. Warranty
10.1. Subject to the conditions set out below, AgriComp warrants that the goods will correspond to their specification and will be free from defects in materials and workmanship for a period of 12 months from the date of delivery, or in the case of goods which have a shorter working life as determined by AgriComp, three months from the date of delivery ("The Warranty Period").
10.3. AgriComp shall be under no liability under the above warranty:
a. in respect of any defect in the goods arising from any drawing, design, or specification supplied by you;
b. in respect of any defect arising from fair wear and tear, wilful damage, negligence of you, abnormal working conditions, failure to follow AgriComp's instructions (whether oral or in writing), misuse or alteration or repair of the goods without your approval, or improper storage.
c. where the goods are transported to you at your risk and the defect occurred during transit;
d. in respect of non-AgriComp branded goods. In that case, you shall only be entitled to the benefit of any such warranty or guarantee as is given by the manufacturer to AgriComp.
10.4. AgriComp shall have no liability under the above warranty other than under Clause 9 above. If AgriComp fails to comply with such obligations, its liability for such failure shall be limited to the contract price of the goods.10.5. The express terms of these Terms are in lieu of all warranties, conditions, terms, undertakings, and obligations implied by statute, common law, custom, trade usage, course of dealing or otherwise, all of which are hereby excluded to the fullest extent permitted by law. The United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) shall not apply to orders for goods.
11.1.This Contract shall be governed by and construed in accordance with the laws of England and Wales. In the event of any dispute, controversy, or claim arising out of or relating to this agreement or its breach (hereinafter referred to as a "Dispute"), the parties agree to first attempt to resolve the Dispute through good faith negotiation. The party seeking resolution of the Dispute (the "Initiating party") shall provide written notice to the other party (the "Responding party") describing the nature of the Dispute in reasonable detail. Within thirty (30) days after receipt of the notice, representatives of both parties shall meet, either in person or via a mutually agreed-upon method of communication, to discuss and attempt to resolve the Dispute.
11.3. The arbitration proceedings shall be conducted in the English language unless the parties mutually agree otherwise. The parties shall jointly appoint a single arbitrator to preside over the arbitration proceedings. If they cannot agree on an arbitrator within thirty (30) days of the initiation of arbitration, the LCIA shall appoint the arbitrator. The arbitrator's decision shall be final and binding upon the parties and may be enforced in any court of competent jurisdiction. Each party shall bear its own costs related to the arbitration proceedings, unless the arbitrator determines otherwise
12. Force Majeure
12.1. AgriComp shall not be held responsible for any delay or failure to perform its obligations under these terms and conditions that result from unforeseeable circumstances, including acts of nature, natural disasters, or other uncontrollable events.
12.5. In the event of a force majeure event, both parties, AgriComp and you, shall cooperate and communicate effectively to determine the most suitable course of action to mitigate the impact of the unforeseeable circumstances. This may involve adjusting delivery schedules, revising obligations, or other measures as appropriate.
13. Amendments
13.1. AgriComp reserves the right to amend these terms and conditions. Any changes will be communicated to customers in a clear and timely manner.
14. Severability
14.1. If any part of these terms and conditions is found to be unenforceable, the remainder of the agreement will still apply.
